G. Brian Butler is a partner in the firm’s Hospitality and Real Estate Development and Finance Practices. Mr. Butler counsels clients in a wide range of hospitality-related real estate matters, including acquisitions, development transactions, financings, dispositions, management agreements, franchise matters, and public/private and private joint ventures. He has particular depth working with business, leisure, resort and extended-stay properties.

 Mr. Butler also represents clients in a variety of other commercial real estate matters, including commercial mortgage loans and securitized financings, the acquisition, financing, and disposition of other commercial real estate asset classes, REIT transactions, and mergers and acquisitions.

Representative Experience

  • Representation of major national institutional private equity fund sponsors on a nationwide basis in the acquisition, development, redevelopment, franchising, financing, and disposition of well in excess of $1 billion of hotel, mixed-use, and resort transactions.
  • Representation of major national institutional private equity fund sponsors in joint venture transactions with other hospitality industry sponsors, developers, and managers to acquire equity ownership in, or direct ownership of, and renovate or redevelop existing hotel assets, including a new flagship full-service hotel opened in conjunction with a major international airport expansion project.
  • Representation of hotel developers/owners in the negotiation and structuring of public/private hotel and conference center transactions for a new convention center headquarters hotel to accompany a new 500,000 square foot regional convention center, and a new luxury hotel within a regional retail/multi-family/office/hospitality/entertainment mixed-use development to accompany a new 60,000+ square foot City-wide conference center and event facility.
  • Representation of hotel developer/owner in structuring, acquisition, and development of new, and conversion of existing, hotel projects with integrated retail and/or structured parking facilities, and creation of commercial condominium ownership structures to bifurcate ownership of the mixed uses, and ultimately the sale of the bifurcated uses to third parties.
  • Representation of a major institutional private equity fund sponsor in entering into master development arrangements with national franchisors to establish a development platform to develop 50 – 100 hotels to operate under new hotel brands being developed by the franchisors.
  • Representation of commercial and hospitality property owners and developers in various development and tax incentive financing structures with local governmental agencies and development authorities for various commercial real estate projects exceeding $500 million in total transaction value.
  • Representation of a major institutional private equity fund sponsor in recapitalizing various hotel assets held in legacy private equity funds into new funds established with new and existing institutional investors.
  • Representation of non-bank funds in providing senior, mezzanine, and/or preferred-equity financing in connection with various hospitality projects across the nation.
