Ward S. Bondurant is a Partner in the firm’s Corporate Practice and member of the firm’s Executive Committee. Mr. Bondurant has counseled businesses in general corporate and corporate finance matters for over 25 years. His business includes the representation of companies in public and private finance transactions, mergers and acquisitions, securities reporting and compliance, corporate governance, equity and interest rate derivatives, product development and distribution, borrowing and lending, and executive compensation.

Mr. Bondurant’s clients range from providers of healthcare, technology and telecommunications services to financial services providers. He also works extensively with businesses involved in various aspects of the insurance industry, including insurance companies, managing general agents, reinsurers, and agencies.

Mr. Bondurant is a frequent presenter on topics relating to corporate governance and finance. He is also active with numerous organizations throughout the Atlanta community, serving on the Advisory Board of the Emmaus House and as an instructor in various programs on behalf of local non-profit organizations.

  • Representation of a national insurance program manager in its acquisition by a national insurance carrier.
  • Representation of an online banking services firm in a $39 million initial public offering and subsequent $700 million merger transaction with another public company.
  • Representation of a healthcare management and operations company in the $34.5 million sale of a community hospital in Northeast Georgia.
  • Representation of a national producer and distributor of concrete and other building materials and its
    international parent company in a series of acquisitions and dispositions of operating facilities.
  • Representation of national investment banking firms in a $31 million underwritten public offering of a professional liability insurance provider.
  • Representation of an SEC-reporting company in the sale of its offshore insurance subsidiary in a $57 million transaction.
  • Representation of national investment banking firms in a series of registered public offerings of securities of a national apparel manufacturer, totaling over $150 million.
  • Representation of a national homebuilder and its international parent in a series of financing transactions.
  • Representation of an insurance managing general agent in a series of agency acquisitions throughout the U.S.
  • Representation of numerous companies in finance transactions relating to life settlements and life insurance premium financing.
  • Representation of a national materials analysis and testing services company in the disposition of one of its business segments.
