Shannon McNulty is a Partner in the Corporate, Securities, and Real Estate Capital Markets practices.  Ms. McNulty represents public and private companies in high growth industries, particularly commercial real estate and technology.  Her practice is focused on the areas of corporate finance, federal securities law compliance, FINRA registration, blue sky law compliance, mergers and acquisitions and general corporate representation.

Ms. McNulty represents clients in structuring and consummating complex corporate transactions, including public offerings, private placements, mergers, acquisitions, restructurings and reorganizations.  She has experience in representing issuers, underwriters and selling shareholders in connection with initial public offerings and follow-on offerings, particularly issuers that are REITs and real estate limited partnerships.  Ms. McNulty has helped guide private companies and their boards of directors through the initial public offering process, on-going reporting requirements and stock exchange requirements, as well as through the business and corporate governance issues encountered by a public company.

Before joining the firm, Ms. McNulty served as the law clerk for Judge John J. Goger, Superior Court of Fulton County, Atlanta, GA.

Representative Experience

  • Represented a special committee of the board of directors of Resource Real Estate Opportunity REIT, Inc. in connection with the stock-for-stock merger with Resource Real Estate Opportunity REIT II, Inc. and related self-administration transaction, resulting in a combined company with a gross real estate value of $2.7 billion.
  • Represented a special committee of the board of directors of Griffin Capital Essential Asset REIT II, Inc. in connection with the stock-for-stock merger with Griffin Capital Essential Asset REIT, Inc., and a related self-administration transaction.  After the closing, the combined company is expected to have $4.75 billion in assets under management
  • Representation of a public non-listed REIT in a $3.0 billion merger with a NYSE-listed REIT
  • Counsel to the issuer in the $1.5 billion follow-on public offering of common stock by Cole Credit Property Trust V, Inc.
  • Counsel to the issuer in the $3.5 billion initial public offering of common stock by Cole Office & Industrial REIT (CCIT III), Inc.
  • Counsel to the issuer in the $3.15 billion initial public offering of common stock by Griffin-American Healthcare REIT IV, Inc.
  • Representation of issuers and venture capital firms in private equity financings
