Hannah Coleman is an Associate in the firm’s Corporate and Real Estate practices. She focuses her practice on real estate equity financing and corporate transactions, including joint ventures, private equity, and mergers and acquisitions. 

Hannah regularly advises developers, sponsors, and investors on various legal and business issues related to the acquisition and disposition of real estate assets and portfolios. Hannah’s representation includes structuring, negotiating, and drafting partnership agreements, limited liability company agreements, and other joint venture-related agreements documenting equity investments in all asset classes.

Hannah graduated from the University of Georgia School of Law. While there, she was a Regional Champion at the Denver Transactional Law Meet, the recruitment chair for the Negotiation and Transactional Law Competition Team, and Vice President of Membership for the Dean’s Ambassadors. Before attending law school, Hannah obtained degrees in Consumer Sciences and French from the University of Georgia, where she graduated magna cum laude.

Representative Experience

  • Representation of real estate developer/operator as sponsor of a private equity fund formed to invest in office, retail, and industrial properties located primarily in the Southeastern United States.
  • Representation of sponsor with the acquisition, equity financing, joint venture, loan financing, and refinancing of several multi-family properties located throughout the Southeastern and Midwestern United States.
  • Representation of hotel developer/operator in the acquisition and development of numerous hotel properties located throughout the Southeastern United States.
  • Representation of investors in commercial real estate transactions involving complex like-kind exchanges.
