Lili C. Martin-Mashburn is an Associate in the firm’s Tax practice. Lili frequently advises clients on tax issues associated with real estate and other corporate transactions, including qualified opportunity fund investments, like-kind exchanges under Section 1031 of the Code, affordable housing/low income housing tax credits, and other investment funds. She also devotes part of her practice to tax audits, including defending business audits.

Ms. Martin-Mashburn’s previous experience includes working as a law clerk for the American Civil Liberties Union Foundation of Georgia and as an extern for the Cobb County District Attorney’s Office, Appellate Division. Ms. Martin-Mashburn was also a summer associate for Morris, Manning & Martin, LLP, as well as a judicial extern for the Supreme Court of Georgia for the Honorary Keith Blackwell.

  • Advised multiple clients in structuring real estate fund investments and navigating the associated tax and legal issues

  • Representation of sponsor in a $100 million qualified opportunity fund formed to primarily invest in hospitality assets located in qualified opportunity zones throughout the country
  • Representation of sponsor in a $50 million qualified opportunity fund formed to acquire and develop multiple properties located within a single qualified opportunity zone
  • Representation of sponsor in a $20 million qualified opportunity fund formed to acquire and develop a single mixed-use property
  • Representation of investor in a $15 million investment in a qualified opportunity fund acquiring raw land for ground-up construction
  • Representation of sponsor in a $10 million qualified opportunity fund formed to acquire and develop a single multi-family property
  • Representation of publicly traded bank in connection with investments in affordable housing producing low income federal tax credits aggregating more than $100 million
  • Representation of partnerships in multi-million dollar tax controversies
  • Advised multiple clients on net investment income tax exemptions
  • Successfully resolved a Georgia state tax credit controversy
