MMM M&A Counsel to Online Resources

Atlanta (January 31, 2013), In a transaction with an enterprise value of over $260 million, Morris, Manning & Martin (MMM) client Online Resources Corporation (NASDAQ: ORCC), a leading provider of online banking and full-service bill pay solutions, signed a deal in which it agreed to be acquired by ACI Worldwide (NASDAQ: ACIW), a leading international provider of payment systems.

The deal was structured as a public tender offer for ORCC's common stock, a separate purchase of ORCC's preferred stock, and a final stage merger.  The tender offer will officially commence in mid-February and is expected to close in March.

The primary MMM team includes partner David Calhoun and associates Jason Cummings, Stephanie Steele and Aleem Ramji.  Key assistance was provided by partner Bruce Wynn (regarding issues of options and equity awards), partner Scott Allen (for Hart Scott Rodino issues), and associate Austin Mills
