Nell Schiller is an Attorney in the firm’s Benefits and Compensation and Tax practices. Ms. Schiller advises clients on the structure, implementation and administration of employee benefit plans and the associated ERISA, Internal Revenue Code, Patient Protection and Affordable Care Act, COBRA, and HIPAA implications. She provides counsel various types of tax-favored retirement plans, including pension, 401(k), 403(b), 457, and employee stock ownership plans (ESOPs), as well as health and welfare plans.
Ms. Schiller has broad experience with non-qualified plans and executive compensation matters, such as deferred compensation arrangements, equity-based plans, bonus plans and employment, retention, severance and change-in-control agreements. She advises clients about the tax implications of such arrangements under the Internal Revenue Code, including under Section 409A.
In addition, Ms. Schiller represents clients in connection with the employee benefits and compensation issues arising from various transactional matters, including public and private company mergers and acquisitions, corporate reorganizations and restructurings, and various financing arrangements.
