Lindsey L. G. Magaro is an Associate in the firm’s Corporate, Securities, Real Estate Capital Markets, and Public Funds practices. Her practice focuses on representing public and private companies in general corporate matters, securities offerings and compliance, mergers and acquisitions, and real estate capital markets.

Lindsey assists public companies, including listed and non-listed REITs and real estate limited partnerships, in initial public offerings and secondary offerings.  She also assists clients in private placement securities offerings.  In addition, she advises clients on corporate governance, state and federal registration regulations and exemptions, and general securities law compliance, such as Exchange Act reporting and listing requirements.

Prior to joining the firm, Lindsey worked at the Chicago office of Mayer Brown LLP in the Corporate and Securities practices.

Representative Experience

  • Represented a large company in connection with its $8.6 billion acquisition of Bucyrus International, Inc.
  • Drafted and negotiated a stock purchase agreement and warrant granting a major transportation company a minority interest in an entertainment startup
  • Drafted and negotiated a purchase agreement, ancillary approvals and transfer documents in connection with the sale of a client’s interest in a real estate joint venture
  • Drafted and negotiated a limited liability agreement for a real estate joint venture
  • Traveled to Chile, Brazil and Peru to meet with senior executives and collect diligence materials relevant to a client’s post-merger integration
  • Worked at a client’s headquarters to assist with pre-acquisition tasks, such as drafting internal resolutions, revising employment agreements and collaborating with local counsel
  • Reviewed due diligence, compiled disclosure schedules and drafted ancillary agreements in connection with a client’s global divestiture of a recently acquired company
