David Freda is a partner in the Real Estate, Investment Funds, Corporate and Tax practices. David works primarily in the areas of real estate equity finance and corporate transactions, including joint ventures, private equity, fund formation, securities, and mergers and acquisitions.
David advises clients on various legal and business issues related to the acquisition and disposition of real estate assets and portfolios, including structuring to maximize investment intent and tax efficiency; negotiating and documenting equity investments, syndications, private placements and sales; and corporate matters related to debt financing, including securitized financing transactions. He has significant experience structuring commercial real estate transactions, negotiating joint venture operating agreements and limited partnership agreements, establishing private equity funds and managing all aspects of complex commercial real estate transactions to successful closing. He has also advised public and private companies and private equity firms on domestic and cross-border mergers, acquisitions and divestitures.
David devotes time to the Pro Bono Partnership of Atlanta, where he provides corporate counsel for non-profit entities. Prior to law school, he owned and operated a manufacturing-based business in the consumer goods industry.
