Morris, Manning & Martin LLP is seeking a Corporate Paralegal for our Atlanta office. This position will support partners and associates in all aspects of corporate transactions. The ideal candidate will meet the following criteria:
Responsibilities
- Assist with preparations for signature pages and closing corporate transactions
- Perform research and filings with Georgia , Delaware and other states
- Draft corporate resolutions
- Obtain Edgar Codes
- Draft and file Form Ds
- Form corporate entities
- Obtain EIN’s
- Prepare and maintain corporate minute books
- Issue stock certificates
- Draft and maintain corporate stock ledgers
- Draft basic corporate documents, such as bylaws and operating agreements
- Maintain entity files
- Manage option grants and other equity incentive awards
- Other duties as assigned
Qualifications
- Bachelor’s degree required, Paralegal certificate preferred, or any combination of experience, education and training that demonstrates the ability to perform the duties of the position
- Minimum of 5 years corporate paralegal experience, preferably in a law firm environment
- Demonstrates strong work ethic, sound judgment, decision-making and reasoning abilities
- Possesses strong organizational skills and attention to detail
- Ability to multi-task in a fast-paced environment while meeting deadlines
- Proficiency in MS Office application suite
- Excellent verbal and written communication skills
- Exhibits exceptional internal and external client service skills
