Warren Wills is senior counsel in the Litigation Practice. Experienced as both plaintiff’s and defense counsel, Mr. Wills has a wide range of trial and appellate experience in business-related litigation, including real estate litigation, fraudulent conveyances, tortious interference and other business torts.

Mr. Wills is an expert in the area of contract law and lectures frequently on the topic. His experience extends to the analysis and litigation of contract issues arising out of commercial real estate transactions, mergers and acquisitions and diverse other contexts.

Mr. Wills has intimate familiarity with the commercial real estate business and has spoken and written in the area. Through both litigation and transactional experience, he brings unique litigation insights to commercial lease disputes, brokerage cases, purchase contract issues, construction claims, lender relationships and joint venture actions. He has successfully litigated, and often resolved short of litigation, many significant cases.

Among business litigators, Mr. Wills has considerable jury-trial experience. He has tried cases in state and federal courts throughout Georgia and the country. His winning trial record is complemented by success in the appellate courts.

Representative Cases

  • Lead counsel for Fortune 100 Company, Caremark, Inc. (now CVS Caremark, Inc.) in defense of suit in the Delaware Chancery Court by former CFO seeking exercise rights on $35,000,000 in stock options. The Court granted summary judgment against all claims.
  • Lead counsel for Wood Partners affiliate in Phoenix AAA arbitration of its claim for delay damages against General Growth Properties affiliate arising out of breach of an agreement for the joint development of commercial properties. Award to the client.
  • Lead counsel defending international heavy equipment dealer Ring Power Corporation in trial of $16,000,000 breach of contract suit in the United States District Court in Chicago. Defense verdict won on all counts.
  • Lead counsel in federal court in Atlanta for Danish inventor and manufacturer and U.S. subsidiary in trade secrets, unfair competition and contract case where former employees departed with company information and began competing in U.S. market. Mr. Wills won seven figure jury verdict; then represented the same Plaintiffs in a state court fraudulent conveyance and “mere continuation” case against principals and successor company and won second seven figure jury verdict, plus seven figure punitive damages.
  • Lead counsel for Siemens Energy & Automation in complex contract dispute with office property owner to extricate client from signed lease for entire building. The case settled advantageously.
  • Lead counsel for Atlanta developer in successfully enforcing commercial lease in state court.
  • Lead counsel for Bank of America in successful arbitration enforcing bank’s loan and collateral rights and defeating diverse counterclaims.
  • Lead counsel defending RMC Allied Readymix in construction defect jury trial in Fulton Superior Court. Mr. Wills obtained defense verdict for the client.
  • Co-counsel for Jacksonville developer in Florida state court action to enjoin client’s development. Bench trail judgment entered for developer.
  • Lead counsel for the Ginn Company affiliates defending actions in federal court in Jacksonville seeking rescission and damages related to $30,000,000 in real estate transactions.
  • Lead counsel for Georgian Bank in Superior Court of Paulding County to enforce bank’s note and other loan documents and in defending alleged lender liability claim.
