Gregory D. Chafee is Of Counsel and Chair of the Sustainability Practice. He is also a member of the Energy and Infrastructure Finance and Corporate practices.
Mr. Chafee advises on renewable energy projects, cleantech innovation and investment, and sustainability programs, policies and initiatives. He counsels project developers, owners, investors and managers on federal, state and local regulatory compliance, permitting, financing, power supply, sales, marketing and distribution contracts, and commercial and corporate governance matters. He has negotiated and structured complex transactions involving electrical production, natural gas transmission, and the generation of energy from biomass, solar, wind, geothermal, hydropower, waste-to-energy and other renewable resources. Mr. Chafee provides guidance on incentives for energy project development, including the formation and operation of power generation facilities, and counsels on matters related to energy efficiency, sustainable building and construction, and the utilization of green technologies.
As a former General Counsel of DS Waters of America and Associate General Counsel of Georgia-Pacific Corporation, Mr. Chafee has extensive experience handling a wide range of commercial matters in the U.S., European, Asian, and Latin American markets, including the formation and operation of public and privately held firms, limited liability companies, partnerships, international and domestic joint ventures and strategic alliances, equity and debt financing arrangements, corporate governance, recapitalization and mergers, acquisitions, and divestitures.
Representative Matters
- Accomplished state licensing for a $500 million power generation facility
- Counseled solar photovoltaic and thermal energy systems developer on raising investment capital, including Series A preferred stock financing and all corporate matters
- Structured a corporate energy procurement joint venture, resulting in $10 million savings in annual fuel and operating costs
- Structured a $200 million non-recourse project financing and amended and restated bond purchase and guaranty term loan facility for an industrial cogeneration project
- Structured start-up financing for biofuels, solar, wind and geothermal energy producers
- Advised a leading provider of advanced metering technology for the utility industry on senior debt financing and recapitalization
- Developed and financed a joint venture to lease and operate a municipal hydroelectric plant
- As transaction counsel to Fort James, Mr. Chafee oversaw its $11 billion acquisition by Georgia-Pacific, creating the largest producer of consumer tissue products worldwide
- Advised a global consumer products company on completing a $110 million debt restructuring and subsidiary realignment
- Counseled a $3 billion sales and distribution company on the reorganization of its holding companies, increasing cross-border operating efficiencies
- Structured the $59 million sale of a partnership equity interest in a global manufacturing facility
- Accomplished $75 million syndicated senior financing of a privately-held multinational company
