Adriana Mitchell is an associate in the Corporate and Securities Practices.  Mrs. Mitchell represents clients in securities matters, including public and private offerings and ongoing public company securities law compliance.

Mrs. Mitchell has experience with initial public offerings and has assisted in drafting an S-1 registration statement for an initial public offering, as well as a memorandum for a private placement offering.  Mrs. Mitchell also has experience reviewing and preparing forms 10-K, 10-Q and 8-K and significant knowledge of Section 16 filings and corporate governance.  She has represented buyers in stock and asset purchase transactions.  Additionally, she served as a corporate secretary to the board of directors of a bank facing FDIC takeover where she was charged with preparing Form 8-Ks, board minutes and resolutions. Mrs. Mitchell is a former intern with the Federal Trade Commission. 

Mrs. Mitchell is fluent in Bulgarian.
