Today the IRS released proposed regulations under new Code 409A (enacted by last year's American Jobs Creation Act of 2004) governing "nonqualified deferred compensation plans."  A copy of the regulations is attached.    We are in the process of examining these regulations in detail, and plan to have a summary out to you shortly.  Also, plans are in the works for a program discussing the impact of new Code 409A, as interpreted by these regulations.
