Catherine E. Morgen is an Associate in the firm's Real Estate Development and Finance Practice. Ms. Morgen concentrates her practice on the representation of real estate clients engaged in the acquisition, development, leasing and disposition of commercial real estate, with experience handling large multi-state transactions, hospitality properties and office and industrial leasing, as well as complex restrictive covenant and easement transactions that deal with the operational aspects of projects which rely on shared facilities and amenities and fractional ownership structure transactions.
Ms. Morgen also represents institutional real estate lenders, borrowers and investors, including financial institutions, REITs and pension fund advisors. She specializes in a wide variety of financing transactions including permanent and construction financing, multi-state collateral pools for revolving credit facilities and mortgage loan servicing. Her representations extend beyond loan origination and servicing to workouts, loan restructuring and foreclosures, as well as the sale of foreclosed assets.
Ms. Morgen has significant experience representing developers, owners and managers of hotel properties in effecting acquisitions, dispositions and mergers, developing their properties, structuring and negotiating operating and management agreements, arranging financing, reviewing franchise agreements and leasing.
In addition, Ms. Morgen has written and spoken on a variety of real estate matters including easements, development and leasing.
Recent Experience
Represented national bank in $138 million construction loan for premier office building in Atlanta, GA.
Represented national retail chain in $580 million credit facility refinance secured in part by 58
properties in seven states.
Represented international hotel owner/manager in $300 million sale of a majority partnership interest
with retention of long-term management rights for luxury hotels in Chicago, IL and Miami, FL and
$450 million portfolio sale of 13 hotel properties in the U.S., Canada and Caribbean; negotiation of
associated long-term management agreements.
