Mr. Binder is a partner in the firm’s Corporate, Securities, Insurance and Exempt Organizations Practices. Mr. Binder represents clients in corporate transactions including mergers and acquisitions, strategic investments, recapitalizations, venture capital financings, leveraged buyouts, debt offerings including mezzanine loans, equipment leasing and other commercial lending transactions. Mr. Binder also frequently represents clients on general corporate matters, including corporate governance and stockholder rights and he has significant experience representing religious and other exempt organizations on a wide range of corporate and transactional issues. Mr. Binder’s corporate clients have included companies involved in a wide variety of industries, including software for supply chain and artificial intelligence applications, manufacturing, health care claim processing services, domestic and international insurance services, real estate brokerage services, media and advertising, and food processing and distribution.

Representation of a leading next generation supply chain software company in a series of equity investments and M&A transactions, including an eventual merger with a public company and subsequent going-private transaction
Representation of publicly held Bahamian life insurance company in the acquisition of another Bahamian life insurer and subsequent strategic equity investment by a publicly held Barbados-based financial services company
Representation of major long term care insurance company and independent committee of Board of Directors in various equity and debt restructurings and related transactions
Representation of a leading next generation healthcare claims processing company, from start up through recognition as number 40 on Deloitte’s 2007 Technology Fast 500, and beyond
Representation of a healthcare services company in a three party merger and related closing of a secured term loan and revolving credit facility
