Thomas S. Gryboski is a partner in the firm’s Real Estate Development and Finance Practice and leads the firm’s Hospitality Practice. Mr. Gryboski represents clients in real estate acquisitions, development projects, dispositions, joint ventures and related loan closings. Mr. Gryboski also has experience representing borrowers in loan restructurings, negotiations with loan special servicers and advising clients to help avoid recourse pitfalls in loan documents. In addition, Mr. Gryboski has significant experience in drafting and negotiating hospitality transaction documentation, including franchise agreements, management agreements and technical services agreements.
Prior to joining Morris, Manning & Martin, Mr. Gryboski acted as head in-house counsel for a publicly traded hotel owner/operator.
Recent Experience
Representation of CMBS borrower in negotiation with special servicer related to matured loan with
negative equity.
Representation of a publicly traded hotel company and subsidiaries in a $370 million refinancing of 64
hotels through three existing loans, four fixed rate loans, one floating rate loan and two mezzanine loans.
Representation of purchaser - joint venture in $97 million acquisition and financing of 467 room Sheraton Colony Square Hotel in midtown Atlanta, Georgia and planned conversion and renovation of hotel to “W” brand. Related representation including all associated Sheraton franchise and management agreements, acquisition and construction financing documentation, and joint venture documentation.
Representation of a real estate private equity fund manager and an integrated operating and development organization that specializes in investments within the North American lodging and hospitality sector, in the development of a LEED (Leadership in Energy and Environmental Design) Certified “geen” hotel and spa under LEED-NC 2.1.
Representation of joint venture partners in the acquisition and financing of the Buckhead Crowne Plaza
in Atlanta, Georgia and planned conversion and renovation of hotel to “W” brand.
Representation of a borrower in a $53 million refinancing for properties located in five states which
included the refinancing of several existing senior and mezzanine loans with two senior loans and a mezzanine loan.
